This Digital Image License Agreement is made between AnixmA LooP and the individual or entity downloading or otherwise acquiring a license to use the digital image(s). By downloading, accessing, or using the digital image(s), Licensee agrees to be bound by the terms of this Agreement.

1. Definitions

1.1 "Digital Image(s)" refers to the image(s) made available for license by Licensor.

1.2 "Licensed Material" refers to the Digital Image(s) licensed under this Agreement.

1.3 "Use" means to copy, reproduce, modify, display, broadcast, publish, or make any other use of the Licensed Material.

2. Grant of License

2.1 License: Subject to the terms and conditions of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable right to use the Licensed Material.

2.2 Permitted Uses: Licensee may use the Licensed Material for the following purposes:

Personal, non-commercial use.

Editorial use in newspapers, magazines, blogs, and similar publications.

Advertising and promotional use, including online and print media.

Use in social media posts.

Educational purposes.

3. Restrictions

3.1 Prohibited Uses: Licensee may not:

Resell, redistribute, or transfer the Licensed Material.

Use the Licensed Material in a way that is defamatory, obscene, or otherwise unlawful.

Use the Licensed Material in a manner that infringes any third-party rights.

Use the Licensed Material as a trademark, service mark, logo, or other indication of origin.

3.2 No Derivative Works: Licensee may not create derivative works based on the Licensed Material unless expressly authorized by Licensor.

4. Ownership

The Licensed Material, including all intellectual property rights therein, remains the property of the Licensor. No ownership rights are transferred to Licensee by this Agreement.

5. Fees

Licensee agrees to pay all applicable license fees as specified at the time of purchase. All fees are non-refundable.

6. Term and Termination

6.1 Term: This Agreement is effective as of the date the Licensed Material is downloaded or accessed and will remain in effect unless terminated.

6.2 Termination: Licensor may terminate this Agreement at any time if Licensee breaches any of its terms. Upon termination, Licensee must immediately cease using the Licensed Material and destroy any copies of the Licensed Material in their possession or control.

7. Warranty and Disclaimer

7.1 Warranty: Licensor warrants that it has the right to grant the license granted herein.

7.2 Disclaimer: EXCEPT AS EXPRESSLY PROVIDED IN SECTION 7.1, THE LICENSED MATERIAL IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM LICENSEE'S USE OF THE LICENSED MATERIAL.

9. Indemnification

Licensee agrees to indemnify, defend, and hold harmless Licensor from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with Licensee's use of the Licensed Material or breach of this Agreement.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Doha, Qatar, without regard to its conflict of law principles.

11. Entire Agreement

This Agreement constitutes the entire agreement between Licensor and Licensee regarding the Licensed Material and supersedes all prior agreements, understandings, representations, and warranties relating to the Licensed Material.

12. Amendments

Licensor reserves the right to amend this Agreement at any time. Any such amendments will be posted on Licensor's website and will be effective immediately upon posting.
